AGREEMENT TO OUR LEGAL TERMS

We are Shanan Teresa, Inc. DBA Coaching Operations ("Company," "we," "us," "our"), a company registered in Kansas, United States at 24641 W. 61st Terrace, Shawnee, KS 66226.

We operate coaching services through our website and related platforms (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Coaching Operations provides professional coaching services including real estate coaching, business coaching, productivity coaching, and personal development programs. We specialize in helping real estate professionals, entrepreneurs, and individuals achieve their goals through structured coaching programs, accountability systems, and strategic planning methodologies including the 12 Week Year system.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Shanan Teresa, Inc., concerning your access to and use of the Services. We will provide you with prior notice of any scheduled changes to the Services you are using. The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

Professional Coaching Services: Coaching Operations provides professional coaching services designed to help clients achieve personal and professional goals. Our coaching programs include business coaching, real estate coaching, productivity systems training, goal-setting frameworks, and strategic planning methodologies.

No Guarantees of Results: While we are committed to providing high-quality coaching services, we make no guarantees regarding specific outcomes or results. Success depends on many factors including client commitment, effort, implementation of strategies, market conditions, and circumstances beyond our control.

Not Licensed Therapy or Medical Advice: Our coaching services are not a substitute for professional therapy, counseling, legal advice, financial planning, or medical treatment. Coaching is a collaborative partnership focused on goal achievement and personal development. If you require therapeutic, medical, legal, or financial services, please seek appropriate licensed professionals.

7. COACHING SERVICES TERMS

Nature of Coaching Relationship: Coaching is a partnership between coach and client designed to facilitate goal achievement, personal development, and professional growth. The client is responsible for creating and implementing their own strategies and making their own decisions. The coach serves as a facilitator, accountability partner, and strategic advisor.

Client Responsibilities:

As a coaching client, you agree to:

- Attend scheduled coaching sessions on time or provide at least 24 hours notice for rescheduling

- Come prepared to coaching sessions with updates, questions, and areas for discussion

- Complete agreed-upon action items and homework between sessions

- Communicate openly and honestly with your coach

- Take responsibility for your own results and implementation

- Notify us promptly of any scheduling conflicts or changes needed

Coach Responsibilities:

We agree to:

- Provide coaching sessions as scheduled

- Maintain confidentiality of client information (except as required by law)

- Provide support, accountability, and strategic guidance

- Respond to client communications within 48 business hours

- Deliver promised coaching materials and resources

Scheduling and Attendance: Coaching sessions are scheduled by mutual agreement. Clients must provide at least 24 hours notice to reschedule a session. Sessions canceled with less than 24 hours notice may be forfeited unless due to emergency circumstances. Repeated no-shows or late cancellations may result in termination of the coaching agreement.

Communication Between Sessions: The level of communication between scheduled sessions depends on your coaching program. Some programs include email or text support, while others are limited to scheduled sessions only. Your specific program details will be outlined in your enrollment materials.

8. CANCELLATION AND REFUND POLICY

Cancellation by Client:

Clients may cancel coaching services by providing written notice to [email protected] Cancellation terms vary by program:

Monthly Subscriptions: May be canceled at any time with notice. Cancellation takes effect at the end of the current billing cycle. No refunds for partial months.

Multi-Month Programs: Programs paid in full may be eligible for a pro-rated refund for unused sessions if canceled within the first 30 days. After 30 days, no refunds will be issued, though you may continue to use the remaining sessions in your program.

Payment Plans: If you are on a payment plan and cancel before completing the program, you remain responsible for any remaining payments unless otherwise agreed in writing.

One-Time Sessions: Single coaching sessions are non-refundable once scheduled.

Cancellation by Coach:

We reserve the right to terminate the coaching relationship if:

- Client repeatedly fails to attend scheduled sessions without notice

- Client engages in abusive, threatening, or inappropriate behavior

- Client violates these Terms and Conditions

- Continued coaching is not in the best interest of either party

In such cases, a pro-rated refund for unused prepaid sessions may be issued at our discretion.

Refund Processing: Approved refunds will be processed within 14 business days to the original payment method.

5. PURCHASES AND PAYMENT

We may accept the following forms of payment:

- Bank Transfer

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in US dollars.

You agree to pay all charges at the prices then in effect for your purchases and any applicable fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order.

6. SUBSCRIPTIONS

Billing and Renewal: Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order.

Free Trial: We may offer a free trial period to new users who register with certain coaching programs. The account will be charged according to the user's chosen subscription at the end of the free trial unless canceled before the trial period ends.

Cancellation: You can cancel your subscription at any time by contacting us at [email protected] or through your account portal. Your cancellation will take effect according to the terms outlined in Section 8 (Cancellation and Refund Policy).

2. INTELLECTUAL PROPERTY RIGHTS

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, coaching materials, frameworks, templates, and training content (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world. The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use only.

Coaching Materials: Any coaching materials, templates, worksheets, frameworks, or resources provided to you as part of our coaching services are for your personal use only and may not be shared, distributed, resold, or used for commercial purposes without our express written permission.

20. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Kansas applicable to agreements made and to be entirely performed within the State of Kansas, without regard to its conflict of law principles.

23. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.

We make no guarantees regarding specific outcomes or results from coaching services. Success depends on many factors including client commitment, effort, and circumstances beyond our control.

28. SMS TEXT MESSAGING

SMS Messaging Terms and Compliance

1. Program Description: This messaging program sends appointment reminders, coaching session follow-ups, service updates, scheduling confirmations, and informational or promotional messages to customers who have opted in to receive SMS notifications from Shanan Teresa Inc. DBA Coaching Operations through our website at coachingoperations.com, or via our scheduling forms, and have explicitly opted in to receive SMS notifications. Opt-in is collected via web forms with a dedicated checkbox for SMS consent. Consent is not a condition of purchase or enrollment in any program.

2. Cancellation Instructions: You can cancel the SMS service at any time. Simply text "STOP" to the same number that sent you messages. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

3. Support Information: If you experience issues with the messaging program, reply with the keyword "HELP" for more assistance, or reach out directly to [email protected] or call 913-393-9198 during business hours.

4. Carrier Liability: Carriers are not liable for delayed or undelivered messages.

5. Message and Data Rates: Message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies based on your service usage and coaching session schedule. For questions about your text plan or data plan, contact your wireless provider.

6. Supported Carriers: Our SMS program works with all major U.S. wireless carriers, including AT&T, T-Mobile, Verizon, Sprint, and most regional carriers.

7. Age Restriction: You must be 18 years or older to participate in our SMS program.

We comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines, regarding the use of SMS communications.
